Rusted Part off Engine?

Hi, can anyone tell me what this part is and if it is important to have it replaced.
Was rusted and floating loose on the passenger side of the engine. Seen it while I was replacing shocks.

Hard to tell, pic isn't big enough, you don't mention what size the piece is...

But it does look like it might be a part of the exhaust manifold shrouding.

That's what I was thinking. Either exhaust heat shield or torque converter dust cover.
