Please help me! Check engine light on and pulled codes P0038 and P0700.

I have a 2004 dodge neon sxt, the check engine light is on and when i drive it the exhaust is loud and the car accelerates horrible. I get it up to 30 max and it takes a little while. Got it diagnosed and it came up with codes P0038 and P0700. P0038 = Heater Control Circuit High (Bank 1 Sensor 2). I was advised that the downstream o2 sensor and so i replaced it. Still doing the same thing and I'm now lost. I know very little about cars and don't have the cash to pay a mechanic. P0700 = Transmission Control System Malfunction. I dont think the tranny is destroyed becuz it still shifts but shift into second high (3000-4000 RPM's). Someone please help me find the problem so I can try to fix it myself.

Those seem like two circuits that would be pretty unrelated. I wonder if they are in the same wire bundles. If you know where to find those parts of the wiring harness I would trace the wiring from the sensor to the pcm and make sure they are grounded good. If you have a multimeter pull the sensor pigtail and the pcm plug and check for continuity or less the 1ohm resistance. I'm betting that somewhere along the harness, those two wires got cut or rubbed off some of the insulation. It would be good if you could get your hands on wiring diagram for this. If this sounds too complicated, you're going to have to bite the bullet and take it to a mechanic.
